1. General Provisions
1.1. These Terms and Conditions define the rules for providing services by Coding Szymon Krasnodębski, Tax ID: 6511742705, REGON: 523184819, hereinafter referred to as the "Service Provider" or "Coding Szymon Krasnodębski".
1.2. The Terms and Conditions define the terms for entering into and performing contracts for the provision of electronic services, including:
- Designing, implementing and maintaining dedicated technological solutions
- Delivering software in the form of web, mobile and desktop applications
- Providing SaaS (Software as a Service) services
- Granting licenses for applications and software
- Providing services through integration with e-commerce platforms and app stores
1.3. The Service Provider provides services to clients, hereinafter referred to as "Ordering Parties" or "Clients", both entrepreneurs (B2B) and consumers (B2C).
1.4. Acceptance of these Terms and Conditions occurs by placing an order, signing a contract, or starting to use the Service Provider's services.
2. Definitions
2.1. Services
IT services provided by Coding Szymon Krasnodębski, including:
- Creating custom integrations of systems and applications
- Designing and implementing solutions based on artificial intelligence (AI)
- Business process automation
- Development of web, mobile and desktop applications (frontend and backend)
- Providing SaaS (Software as a Service) services
- Delivering software and granting licenses for applications
- Creating and distributing applications through e-commerce platforms and app stores
- Technical consultations and support
2.2. Project
A specific task or set of tasks defined in the offer, contract or technical specification.
2.3. Source Code
A set of instructions written in a specific programming language, which is the basis for software operation.
2.4. Documentation
Materials describing the functionality, architecture and usage of the created solution.
3. Scope of Services
3.1. The detailed scope of services for each Project is determined individually in the offer, contract or technical specification.
3.2. The Service Provider undertakes to perform the Services with due diligence, in accordance with applicable industry standards and best practices.
3.3. The scope of Services may include:
- Requirements analysis and consultations
- Solution design
- Implementation (coding)
- Testing and quality assurance
- Deployment to production environment
- Delivering software in the form of applications
- Granting licenses for applications and software
- Providing SaaS services
- User training
- Technical support and maintenance
3.4. The Service Provider reserves the right to refuse to carry out the Project in case of technical impossibility or lack of available resources.
3.5. E-commerce Platform and App Store Integrations
Our Services may be provided through integration with third-party e-commerce platforms and through app stores, including:
- E-commerce platforms: Shopify, Shoper, WooCommerce, BigCommerce, web store and other e-commerce platforms
- App stores: Shopify App Store, Shoper App Store and other app stores where the Service Provider may place their applications
- Other platforms and marketplaces that may be available in the future
The Service Provider reserves the right to provide Services through any e-commerce platforms and app stores, both currently available and those that may be added in the future. These Terms and Conditions apply to all Services provided through platform integration, regardless of which platform or app store the application is available on.
4. Cooperation Principles
4.1. Initial Consultation
Before starting cooperation, the Service Provider offers a free consultation to understand the Client's needs.
4.2. Offer and Quotation
After consultation, the Service Provider prepares an offer containing:
- Description of the scope of Services
- Estimated completion time
- Price and payment terms
- Warranty and support terms
4.3. Offer Acceptance
The Client accepts the offer by signing a contract or expressing consent in electronic form.
4.4. Communication
The parties undertake to maintain regular communication in an agreed manner (email, phone, online meetings).
4.5. Client Cooperation
The Client undertakes to:
- Provide necessary information and materials
- Respond to questions within a reasonable time
- Participate in tests and acceptance
- Provide access to systems (if required)
5. Prices and Payments
5.1. Service Prices
Service prices are determined individually for each Project and provided in the offer.
5.2. Net Prices
All prices are net prices, to which VAT is added in accordance with applicable regulations.
5.3. Payment Models
- Fixed Price - fixed price for the entire Project
- Time & Materials - billing for actual hours worked
- Subscription - fixed monthly fee for support and development
5.4. Advance Payment
Payment for services is made 100% in advance after the Client accepts the quotation.
5.5. Payment Term
After accepting the quotation, the Client receives an invoice, which should be paid within 7 days of the invoice date.
5.6. Payment Delay
In case of payment delay, the Service Provider has the right to:
- Charge statutory interest for delay
- Suspend Project implementation
- Terminate the contract (in case of delay exceeding 14 days)
6. Copyright and Intellectual Property
6.1. Service Provider Rights
All copyrights and intellectual property rights to solutions created as part of the Project, including Source Code, belong to the Service Provider until rights are transferred to the Client.
6.2. Rights Transfer
Transfer of copyright to the Client occurs after:
- Completion of the Project in accordance with the contract
- Positive acceptance by the Client
- Settlement of all receivables
6.3. Transfer Scope
The rights transfer may include (depending on arrangements):
- Right to use the solution
- Right to modify the Source Code
- Right to further distribution
- Right to sublicense
6.4. Component Rights
The Service Provider reserves the right to use developed solutions (in the form of components, libraries, tools) in other projects, provided that this does not violate the confidentiality and uniqueness of the Client's solution.
6.5. Project Portfolio
The Client has the right to place information about the Project in the Service Provider's portfolio, unless the Client objects or the parties agree on an NDA.
7. Warranty and Liability
7.1. Warranty Period
The Service Provider provides a warranty on performed Services for a period of 3 to 12 months (depending on arrangements) from the acceptance date.
7.2. Warranty Covers
- Repair of functional errors
- Adjustment to changes in integrated systems (within reasonable scope)
- Technical support
7.3. Warranty Does Not Cover
- Errors resulting from Code modifications by the Client or third parties
- Problems caused by improper environment configuration
- Errors resulting from external system operations
- Development and addition of new functionalities
7.4. Liability Limitation
The Service Provider's liability is limited to the amount of remuneration obtained from the given Project.
7.5. Indirect Damages
The Service Provider is not liable for indirect damages, lost benefits, data loss (except in cases of gross negligence).
7.6. Backups
The Client is obliged to regularly create backups of their data.
8. Confidentiality and Personal Data Protection
8.1. The Service Provider undertakes to maintain confidentiality of all information received from the Client during cooperation.
8.2. At the Client's request, the parties may sign an additional confidentiality agreement (NDA).
8.3. The Service Provider processes personal data in accordance with GDPR and the Privacy Policy available on the website.
8.4. If within the Project the Service Provider processes personal data on behalf of the Client, the parties enter into a data processing agreement (DPA).
8.5. The Service Provider applies appropriate technical and organizational measures to ensure data security.
9. Contract Withdrawal and Termination
9.1. Consumer A Consumer has the right to withdraw from the contract within 14 days of its conclusion, without giving a reason, in accordance with consumer rights regulations.
9.2. The right to withdraw does not apply if the Service Provider has fully performed the service with the express consent of the consumer, who was informed that after completion of the service they will lose the right to withdraw.
9.3. Either party may terminate the contract with 30 days' notice, unless the contract provides otherwise.
9.4. The Service Provider may terminate the contract immediately in case of:
- Payment delay exceeding 14 days
- Lack of cooperation from the Client preventing Project implementation
- Violation by the Client of the Terms and Conditions or contract provisions
9.5. In case of contract termination, the Client is obliged to pay remuneration for the completed part of the Project.
10. Codessa AI Assistant
10.1. Assistant Description
The website uses Codessa AI Assistant - an artificial intelligence (AI) based chatbot to provide basic information about services. Codessa AI Assistant is available in the bottom right corner of the screen as a chat bubble. After clicking the bubble, a chat window opens in which the user must accept these Terms and Conditions and the Privacy Policy before starting a conversation with the assistant.
10.2. Assistant Limitations
- The assistant serves solely to provide basic information about services
- The assistant CANNOT enter into contracts, provide quotations or binding legal advice
- Assistant responses may contain errors and imprecise information
- Information from the assistant is for informational purposes only
- The assistant does not replace professional consultation with the Service Provider
10.3. User Responsibility
- The user undertakes not to rely on assistant responses when making business decisions
- In case of doubts, contact the Service Provider directly
- The user cannot claim damages based on information received from the assistant
- All contracts and agreements require direct contact with the Service Provider
10.4. Data Processing
- Conversations with the assistant are processed by external AI services (Google Gemini, OpenAI)
- Data may be transferred to third countries (USA) in accordance with the Privacy Policy
- Conversations are stored for a period of up to 30 days
- The user may withdraw consent to processing at any time
10.5. Assistant Modifications
The Service Provider reserves the right to modify, disable or limit assistant functionality without prior notice.
11. Final Provisions
11.1. The Service Provider reserves the right to change the Terms and Conditions. Clients will be informed of changes with 14 days' notice.
11.2. Matters not regulated in the Terms and Conditions are governed by the provisions of the Civil Code and other applicable Polish law provisions.
11.3. All disputes will be resolved by the court competent for the Service Provider's registered office, unless mandatory provisions provide otherwise.
11.4. A Client who is a consumer has the right to use out-of-court methods of handling complaints and pursuing claims.
